Article 1 – Introduction

These Terms & Conditions constitute a legally binding agreement between users and the Mzaady Platform ("the Platform"). By registering or using the Platform, the user agrees to be bound by these Terms.

Article 2 – Definitions

For the purposes of these Terms:

• Platform means the Mzaady application, website, and related systems.

• User means any individual using the Platform.

• Seller means a user listing a product for sale.

• Buyer means a user placing bids or purchasing.

• Auction means a time-limited electronic bidding process.

• Closing Price means the highest bid at auction end.

• Wanted Price means the minimum value determined by the Seller.

• Expected Price means the estimated total including applicable service and shipping fees.

• Security Deposit means the mandatory amount required to participate in bidding.

• Material Difference means a significant discrepancy in essential product characteristics as reasonably determined by the Platform.

Article 3 – Eligibility & Account Registration

Users must be of legal age and provide accurate information. The Platform reserves the right to suspend or terminate accounts for violations or misuse.

Article 4 – Platform Integrity & Misuse

Users must not engage in fraudulent activity, bid manipulation, or misuse of the Platform. The Platform reserves the right to suspend, restrict, or terminate any account involved in suspicious or abusive activity in order to protect the integrity and proper operation of the Platform.

Article 5 – Nature of the Platform

The Platform operates as a technical intermediary facilitating transactions. It is not a direct party to the sales contract between Seller and Buyer.

Article 6 – Auction & Sale Process

• The Seller determines auction duration and Wanted Price.

• Participation requires payment of the Security Deposit.

• If the Closing Price meets or exceeds the Wanted Price, the sale is confirmed.

• If the Closing Price is below the Wanted Price, the Seller may accept or reject.

• If rejected, the Security Deposit is refunded.

• If the Seller activates the "Buy Now" feature and the Buyer completes payment at the specified amount, the auction closes immediately and becomes binding.

Article 7 – Security Deposit

The Security Deposit confirms bidder commitment. If the winning bidder fails to complete payment within the required timeframe, the deposit may be retained. If the sale is not approved or completed, the deposit shall be refunded.

Article 8 – Payment Obligation

The winning Buyer must complete payment within twelve (12) hours of notification. Failure to do so constitutes a breach and may result in deposit retention and account restriction.

Article 9 – Seller Refusal After Payment

If the Seller refuses to proceed after payment is completed, the transaction shall be canceled and the Buyer refunded. The Platform may take appropriate action against the Seller's account.

Article 10 – Fees & Payments

• Service fees are calculated as a percentage of the final confirmed sale price.

• Shipping fees are determined based on product size, and execution location.

• The Platform does not store debit or credit card details.

All calculations are performed automatically within the system.

Article 11 – Verification & Inspection

The Platform may conduct procedural verification to confirm alignment with listed specifications. Such verification does not include advanced technical diagnostics or hidden defect detection.

Article 12 – Delivery & Transfer of Risk

Ownership and risk transfer upon completion of the transaction process in accordance with Platform procedures. Unjustified refusal by the Buyer without a Material Difference may result in liability for related costs.

Article 13 – Refusal & Storage

If the Buyer refuses delivery without a Material Difference, the item may be retained for up to fourteen (14) days. Storage or handling fees may apply. The Platform may take reasonable action to recover incurred costs.

Article 14 – Limitation of Liability

The Platform's liability is limited to the amount of service fees collected for the relevant transaction. The Platform is not liable for user conduct, representations, or contractual performance between users.

Article 15 – Force Majeure

The Platform shall not be liable for delays or failures caused by events beyond reasonable control.

Article 16 – Intellectual Property

All content, systems, branding, and technology remain the exclusive property of the Platform and may not be reproduced without authorization.

Article 17 – International Operation

The Platform may operate through authorized local operators in certain jurisdictions. Transactions executed within a specific country may be subject to applicable local laws. System ownership remains governed by the laws of the State of Qatar.

Article 18 – Governing Law

These Terms and the ownership of the Platform shall be governed by the laws of the State of Qatar.

Article 19 – Dispute Resolution

Operational disputes arising within a specific country shall be resolved in accordance with the applicable laws and competent authorities of that jurisdiction. Disputes relating to system ownership or intellectual property shall be resolved under the jurisdiction of the State of Qatar.

Article 20 – Amendments

The Platform may update these Terms from time to time. Continued use of the Platform after updates constitutes acceptance of the revised Terms.

Article 21 – Entire Agreement & Severability

• Entire Agreement

These Terms constitute the entire agreement between the user and the Platform regarding use of Mzaady.

• Severability

If any provision is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.
